Scope of Application

These General Terms and Conditions of Sale (the "Terms") apply to all contracts for the supply of goods and services entered into by AliCommerce Mfg ("Supplier") and the purchasing entity ("Buyer").

These terms supersede any prior agreements or buyer's standard terms unless explicitly agreed in writing.
Applicable to all OEM, ODM, and ready-to-ship orders placed via platform or direct contract.

Customization & Intellectual Property

Sampling Fees

Prototyping fees apply for all custom orders. The sampling fee is 100% refundable when the subsequent bulk order quantity exceeds 2,000 units.

Mold Ownership

Private molds paid for by the Buyer remain the exclusive property of the Buyer. We guarantee:

No usage for other clients
Secure storage maintenance
Lifetime of 500,000 shots
Confidentiality Agreement (NDA)

Quality Assurance

Inspection Standard

Goods are inspected based on AQL 2.5 (Major) / 4.0 (Minor). Buyers are welcome to arrange 3rd party inspection (SGS/Intertek) before shipment.

Warranty Period

We provide a 12-month warranty from the date of Bill of Lading. Defective units >3% will be replaced or credited in the next order.

Liability & Dispute Resolution

Force Majeure: Neither party shall be liable for delay or failure to perform obligations due to events beyond reasonable control (e.g., natural disasters, war, government restrictions).

Governing Law: These terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Supplier is registered.

Arbitration: Any dispute arising out of or in connection with this contract shall be submitted to the International Arbitration Center for arbitration in accordance with its rules of procedure.
